Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Journalist MCP, Inc. ("Journalist MCP," "we," "our," or "us") governing your access to and use of the journalistmcp.com website and the Journalist MCP platform, tools, APIs, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Description of Service
Journalist MCP provides AI-powered tools for public relations professionals, including journalist discovery, real-time coverage analysis, contact validation, media list generation, and campaign intelligence. The Service is accessible through the Model Context Protocol (MCP), enabling integration with compatible AI assistants and workflows.
The Service includes access to journalist data compiled from publicly available sources, proprietary datasets, and third-party data providers. The accuracy, completeness, and timeliness of this data are provided on a best-efforts basis and are not guaranteed.
User Accounts
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and current
- Maintain the security of your account credentials and not share your password with any third party
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account or any other security breach
We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete, or if we reasonably believe your account has been compromised.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to send unsolicited bulk email, spam, or communications that violate the CAN-SPAM Act or similar laws
- Harvest, scrape, or systematically extract journalist contact information for resale or redistribution outside the Service
- Use the Service to harass, stalk, threaten, or intimidate any journalist or other individual
- Attempt to reverse engineer, decompile, or disassemble any portion of the Service or its underlying algorithms
- Circumvent, disable, or interfere with any security features, rate limits, or usage restrictions of the Service
- Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
- Share your account credentials or allow multiple individuals to access the Service through a single account without authorization
- Use the Service to create a competing product or service, or to benchmark the Service against competitive offerings without our prior written consent
Intellectual Property
The Service, including its original content, features, functionality, design, and underlying technology, is owned by Journalist MCP, Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.
You retain ownership of any content you create using the Service, including media lists, campaign configurations, and outreach templates ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, and display your User Content solely as necessary to provide the Service to you. We will not use your User Content for any purpose other than providing the Service without your explicit consent.
Payment Terms
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay all fees associated with your selected plan. Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle.
All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice.
If payment fails or your account becomes delinquent, we may suspend or restrict access to the Service until outstanding amounts are paid. We reserve the right to use third-party collection services to recover unpaid amounts.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOURNALIST MCP, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service, including journalist data that may be inaccurate or outdated
- Unauthorized access, use, or alteration of your transmissions or content
- Any failed or unsuccessful outreach campaigns conducted using the Service
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY JOURNALIST DATA, CONTACT INFORMATION, OR OTHER CONTENT PROVIDED THROUGH THE SERVICE. YOUR USE OF THE SERVICE AND RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK.
Indemnification
You agree to defend, indemnify, and hold harmless Journalist MCP, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service, including any outreach, communications, or campaigns you conduct using journalist data obtained through the Service
- Your violation of any rights of a third party, including privacy and publicity rights
- Any User Content you create, upload, or transmit through the Service
Termination
You may terminate your account at any time by contacting us at [email protected] or through the account settings in the Service. Upon termination, your right to use the Service will immediately cease.
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms, engage in conduct that we determine, in our sole discretion, is harmful to other users or to our business interests, or for any other reason with 30 days' written notice.
Upon termination, we will make your User Content available for export for a period of 30 days. After this period, we may delete your User Content and account data in accordance with our data retention policies.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Journalist MCP, Inc.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and may terminate your account.
